1. Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Hauler Technologies Co., Ltd., a company registered in Taiwan ("Boost Boss," "we," "us"), governing your access to and use of the Boost Boss advertising platform, website (boostboss.ai), APIs, SDKs, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of a business or organization: you represent that you are authorized to bind that entity, and "you" refers to both you and that entity.

2. About Boost Boss

Boost Boss is an advertising technology platform that connects advertisers seeking to reach AI‑native audiences with publishers of AI applications (including but not limited to MCP servers, AI tools, AI agents, browser extensions, and chat interfaces). We facilitate the matching, delivery, measurement, and settlement of digital advertising transactions between independent advertisers and independent publishers.

Boost Boss is not the advertiser, publisher, or seller of any advertised goods or services. We are an intermediary technology platform.

3. Accounts and Eligibility

3.1 Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Services. If you are creating an account on behalf of a business, the business must be legally registered in its jurisdiction.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3.3 One Account Per Person

Each user may maintain only one advertiser account and one publisher account, unless we expressly authorize otherwise.

3.4 Account Verification

We may require identity, business, or payment verification at any time. Failure to complete verification may result in suspension of account features.

4. Advertiser Terms

4.1 Campaigns and Bidding

Advertisers may submit advertising campaigns through our platform. We do not guarantee specific placements, impressions, click‑through rates, or business outcomes. Campaign performance depends on factors including but not limited to budget, bid price, targeting, creative quality, and inventory availability.

4.2 Creative Standards

All advertising creative must comply with our Acceptable Use Policy and applicable laws. We may reject, remove, or pause any creative at our discretion.

4.3 Billing

Advertisers prepay into an advertising balance. Impressions are deducted from this balance as they are delivered. Pricing is as set out at boostboss.ai/pricing or in your individual order form. We may also use third‑party payment processors (PayPal, Payoneer, or others) to process your payment.

4.4 Reporting

We provide impression, click, and conversion reporting through our dashboard. Our reporting figures are the official record for billing purposes. Disputes must be raised within 30 days of the relevant transaction.

5. Publisher Terms

5.1 Independent Contractor Relationship

Publishers are independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Boost Boss and any publisher. Publishers are responsible for their own tax compliance in their jurisdiction.

5.2 Revenue Share

Publishers receive 70% of advertiser gross spend attributable to impressions delivered through their applications. Boost Boss retains 30% as combined exchange and platform fees. Detail on the composition of those fees is set out in the Publisher Agreement.

5.3 Ad Delivery

Publishers agree to render Boost Boss ad content faithfully and without modification, in accordance with the integration specifications we provide. Publishers may not artificially inflate impressions, clicks, or conversions through any means including but not limited to bots, automated scripts, incentivized traffic, or click farms.

5.4 Payouts

Payouts are processed monthly via PayPal or Payoneer once the publisher's balance reaches the minimum threshold (currently US $100). Publishers are responsible for keeping their payout details current. Failed payouts due to incorrect publisher information are the publisher's responsibility.

5.5 Publisher Agreement

Publishers are also bound by the separate Publisher Agreement which provides additional detail on revenue calculation, dispute resolution, and content standards.

6. Payments, Refunds, and Taxes

6.1 Currency

All transactions on the Services are denominated in United States Dollars (USD) unless otherwise specified.

6.2 Refunds

Refunds are governed by our Refund Policy. Generally, unused advertiser balance is refundable within 30 days of deposit; delivered impressions are non‑refundable except in cases of platform error or fraud.

6.3 Taxes

You are responsible for any taxes, levies, or duties applicable to your use of the Services in your jurisdiction, including VAT, GST, sales tax, and income tax. Where required by law, we will collect and remit applicable taxes on your behalf via our payment processors.

6.4 Chargebacks

Initiating a chargeback or payment dispute for transactions you authorized may result in immediate account suspension and a $25 chargeback handling fee.

7. User Content and Intellectual Property

7.1 Your Content

You retain ownership of advertising creative, publisher content, and other materials you submit ("User Content"). You grant Boost Boss a worldwide, royalty‑free, non‑exclusive license to use, reproduce, modify, distribute, and display your User Content solely to operate and improve the Services.

7.2 Our IP

The Services, including software, designs, trademarks ("Boost Boss," our logo, and related marks), documentation, and APIs are owned by Hauler Technologies Co., Ltd. and protected by intellectual property laws. We grant you a limited, revocable, non‑exclusive license to use them solely as permitted by these Terms.

7.3 Feedback

If you provide feedback or suggestions about the Services, you grant us a perpetual, irrevocable, royalty‑free license to use that feedback without restriction.

8. Prohibited Conduct

You agree not to:

  • Violate any law or third‑party rights
  • Submit advertising or publisher content prohibited by our Acceptable Use Policy
  • Engage in click fraud, impression fraud, or any other manipulative practice
  • Reverse‑engineer, decompile, or attempt to extract source code from the Services
  • Use the Services to send spam or unsolicited communications
  • Interfere with or disrupt the Services or the servers hosting them
  • Use bots, scrapers, or automated tools without written permission
  • Impersonate any person or entity
  • Access the Services from any jurisdiction subject to sanctions (including Iran, North Korea, Cuba, Crimea, Syria)
  • Use the Services for any illegal or unauthorized purpose

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

10. Disclaimers and Limitation of Liability

10.1 As‑Is Service

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.

10.2 No Guarantees

We do not guarantee any specific advertising results, impression counts, click rates, conversions, revenue amounts, or business outcomes.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOST BOSS, ITS AFFILIATES, AND ITS PERSONNEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE PAST 12 MONTHS, OR (B) US $100.

10.4 Indemnification

You agree to indemnify and hold Boost Boss harmless from any claims, damages, or losses arising from your User Content, your violation of these Terms, or your violation of any third‑party right.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your account immediately if we believe you have violated these Terms, engaged in fraud, or pose a risk to other users or our platform. Upon termination, accrued unpaid publisher balances above $100 will be paid out within 60 days subject to verification, and unused advertiser balances may be refunded per our Refund Policy.

Sections that by their nature survive termination (including IP, indemnification, liability, and dispute resolution) shall continue in effect after termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Taiwan (Republic of China), without regard to conflict‑of‑laws principles.

Any dispute arising from these Terms or the Services shall first be addressed through good‑faith negotiation. If unresolved within 60 days, disputes shall be submitted to the Taipei District Court (台北地方法院), Taiwan, as the court of first instance.

You may not initiate a class action against us. All claims must be brought individually.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced through the Services or by email at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. The version applicable to any transaction is the version in effect at the time of that transaction.
